TERMS OF USE OF TripProf

These Terms of Use ("Terms", "Agreement") govern your access to and use of the TripProf mobile applications (Android and iOS), website, and related services (collectively, the "Services").
These Terms should be read alongside the Privacy Policy, Data Processing Agreement (where applicable), Payment Terms & Billing Policy, and Refund & Cancellation Policy, which together form the complete legal framework governing your use of TripProf. In the event of conflict between these documents, these Terms of Use take precedence, followed by the Privacy Policy, DPA, and other policies.
By creating an account, accessing, or using the Services, you confirm that you have read, understood, and agreed to be bound by these Terms.
If you do not agree, you must not use the Services.
1. Definitions
"TripProf", "we", "us", "our" — the operator of the Services, operated by Armen Asatryan, Piekna 27F/43, 50-506 Wroclaw, Poland.
"User", "you" — any individual or legal entity accessing or using the Services.
"Account" — a registered user profile.
"Content" — any data, text, images, photos, documents, information, or materials.
"User Content" — Content submitted, uploaded, or generated by Users.
"Software" — the TripProf mobile applications (Android and iOS), web application, and related software components.
"Trip Report" — AI-assisted travel planning output generated by the Services.
"Credits" — prepaid units used to unlock paid features.
"Subscription" — recurring paid access to certain features.
"Data Processing Agreement" or "DPA" — a separate agreement governing the processing of personal data on behalf of the User, where applicable under data protection law.
2. Eligibility
You may use the Services only if:
you are at least 16 years old (or the minimum age required by applicable law in your jurisdiction),
you have legal capacity to enter into this Agreement,
you are not prohibited from using the Services under applicable laws.
If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
3. Description of the Services
TripProf provides a digital travel planning platform that:
collects user-provided travel preferences and information,
incorporates experiences of travelers and travel professionals,
uses artificial intelligence to generate personalized Trip Reports and recommendations.
TripProf does not provide travel agency, booking, transportation, accommodation, medical, legal, financial, or safety services.
4. Software License Grant
Subject to your compliance with these Terms, TripProf grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
download, install, and use the Software,
solely for your personal or internal business use,
strictly in accordance with this Agreement.
This license does not convey any ownership rights in the Software (see Section 15 for full intellectual property terms).
5. Software License Restrictions
You shall not, directly or indirectly:
copy, modify, adapt, translate, or create derivative works of the Software;
reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, except where expressly permitted by applicable law (including EU Directive 2009/24/EC on the legal protection of computer programs);
sell, rent, lease, sublicense, distribute, or otherwise commercialize the Software;
remove or alter proprietary notices;
use the Software in violation of applicable law or these Terms;
use the Software to develop or support a competing product or service.
6. Updates and Modifications
TripProf may:
deploy updates, upgrades, bug fixes, or patches automatically,
modify or discontinue features of the Software.
Such updates may be required to continue using the Software.
No obligation exists to maintain backward compatibility.
7. Account Registration and Security
7.1 Account Creation
You may create an Account by:
registering with an email and password,
authenticating via Google or Apple,
using a magic link.
You agree to provide accurate, current, and complete information and to keep it updated.
7.2 Account Responsibility
You are solely responsible for:
maintaining the confidentiality of your credentials,
all activities performed through your Account.
TripProf is not liable for unauthorized access resulting from your failure to safeguard credentials.
8. User Content
8.1 Ownership
You retain ownership of your User Content.
By submitting User Content, you grant TripProf a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, and display such content solely for the purpose of providing the Services.
8.2 Prohibited Content
You agree not to upload or submit:
pornographic or sexually explicit (18+) content,
hateful, discriminatory, or offensive content,
content violating laws, third-party rights, or public order.
TripProf does not monitor or pre-moderate User Content and disclaims all liability arising from User Content.
9. AI-Generated Content and Disclaimer
Trip Reports and recommendations are generated using:
artificial intelligence,
aggregated traveler and professional experiences,
user-provided data.
IMPORTANT DISCLAIMERS:
All content is informational and advisory only.
Content may be inaccurate, incomplete, outdated, or inappropriate.
Content does not constitute professional advice of any kind.
TripProf does not guarantee outcomes, safety, suitability, or satisfaction.
You use AI-generated content at your own risk.
10. Memories, Documents, Tickets, and Bookings
Users may voluntarily store:
travel memories,
personal photos,
tickets, reservations, bookings, and documents.
You acknowledge and agree that:
all such data is provided voluntarily,
TripProf does not verify authenticity or accuracy,
TripProf bears no responsibility for errors, losses, cancellations, or consequences.
11. Checklists and Expenses
Checklist and Expenses features:
are organizational tools only,
do not constitute financial, tax, or investment advice.
TripProf bears no liability for decisions made based on such features.
12. Paid Services
12.1 Credits
Credits:
are non-transferable,
have no cash value.
Credit validity depends on how they were acquired:
Purchased Credits (packs): Validity and usage conditions are as described in the Services at the time of purchase.
Subscription Credits: Valid until the end of the billing period in which they were granted. Unused subscription credits do not carry over to the next billing period.
Unused Credits are non-refundable, unless required by law.
12.2 Subscriptions
Subscriptions may be monthly or annual and:
automatically renew unless canceled,
can be canceled depending on your platform: via the Stripe customer portal (web), via Apple App Store settings (iOS), or via Google Play (Android),
automatically terminate upon account deletion.
12.3 Payments
Payments are processed by the applicable payment provider depending on your platform:
Web: Stripe
iOS (App Store): Apple
Android (Google Play): Google
TripProf does not store payment card details. Stripe, Apple, and Google each act as independent data controllers for payment data under their own privacy policies and terms.

13. Account Deletion
You may delete your Account at any time.
Data is deleted from active systems within 24 hours of account deletion.
During this 24-hour period, deletion may be canceled by logging in.
Automated encrypted backups are purged in accordance with standard infrastructure retention cycles (up to 7 days).
Some data may be retained where required by law.
14. Acceptable Use
Without limiting the Software License Restrictions set out in Section 5, you agree not to:
misuse the Services or use them in any manner not intended or permitted by these Terms,
interfere with system security or integrity,
attempt to gain unauthorized access to other users' Accounts or TripProf's systems,
use the Services for unlawful purposes.
15. Intellectual Property
All intellectual property rights in the Services and Software (excluding User Content) belong to TripProf or its licensors, including source code, object code, design, interfaces, trademarks, and documentation.
Except for the limited license granted in Section 4, no rights are granted to you.
16. Third-Party Services
The Services may integrate or link to third-party services (e.g., Stripe, Google, Apple, Expo, PostHog, Sentry).
TripProf is not responsible for third-party services or content. Your use of third-party services is subject to those providers' own terms and privacy policies.
17. Privacy
Personal data is processed in accordance with the Privacy Policy, which forms an integral part of these Terms.
18. Disclaimer of Warranties
To the maximum extent permitted by law, the Services and Software are provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express or implied, including but not limited to:
merchantability,
fitness for a particular purpose,
non-infringement,
availability or error-free operation.
Consumer rights notice: Nothing in this section limits or excludes statutory rights that cannot be waived or restricted under applicable consumer protection law, including rights under the EU Digital Content Directive (2019/770) and national consumer protection statutes. If you are a consumer in the European Economic Area, you retain all mandatory statutory warranty rights regardless of this disclaimer.
19. Limitation of Liability
To the maximum extent permitted by law:
TripProf shall not be liable for indirect, incidental, consequential, or special damages,
TripProf's total liability shall not exceed the amount paid by you to TripProf in the preceding 12 months, or EUR 100 (or its equivalent in local currency) if no payment was made.
This limitation does not apply to liability that cannot be excluded or limited under applicable law, including liability for gross negligence, willful misconduct, fraud, death or personal injury caused by negligence, or breach of mandatory statutory obligations.
20. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless TripProf from claims arising out of:
your use of the Services,
your User Content,
violation of these Terms or applicable law.
This indemnification obligation does not apply where prohibited by law and shall not require you to indemnify TripProf for its own negligence or willful misconduct.
21. Suspension and Termination
TripProf may suspend or terminate access:
for violations of these Terms,
for legal or security reasons,
at its discretion, with or without notice where permitted by law.
Upon termination:
all licenses granted to you immediately cease,
you must stop using and uninstall the Software.
22. Export Control and Sanctions
You represent that:
you are not located in a sanctioned country,
you are not listed on any restricted party list,
you will comply with applicable export control and sanctions laws.
23. Apple App Store and Google Play Terms
In addition to the general third-party provisions in Section 16, the following terms apply if you download the Software from Apple App Store or Google Play:
these Terms are concluded between you and TripProf, not Apple or Google;
Apple and Google are not responsible for maintenance or support;
in the event of any failure of the Software to conform to any applicable warranty, you may notify Apple for a refund of the purchase price (if any); to the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the Software;
TripProf, not Apple or Google, is responsible for addressing any claims by you or any third party relating to the Software, including but not limited to product liability claims, any claim that the Software fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation;
in the event of any third-party claim that the Software or your use of the Software infringes a third party's intellectual property rights, TripProf, not Apple or Google, is solely responsible for the investigation, defense, settlement, and discharge of any such claim;
in the event of any failure of the Software to conform to any applicable warranty, you may notify Apple for a refund of the purchase price (if any); to the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the Software;
TripProf, not Apple or Google, is responsible for addressing any claims by you or any third party relating to the Software, including but not limited to product liability claims, any claim that the Software fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation;
in the event of any third-party claim that the Software or your use of the Software infringes a third party's intellectual property rights, TripProf, not Apple or Google, is solely responsible for the investigation, defense, settlement, and discharge of any such claim;
Apple and Google are third-party beneficiaries of these Terms.
In-app purchases made through the Apple App Store are processed by Apple under Apple's payment terms. In-app purchases made through Google Play are processed by Google under Google's payment terms. TripProf is not responsible for platform-specific billing rules or payment authorization decisions made by Apple or Google.
24. General Provisions
24.1 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or severed if modification is not possible. All remaining provisions shall continue in full force and effect.
24.2 Waiver
The failure of TripProf to enforce any provision of these Terms shall not constitute a waiver of the right to enforce that provision or any other provision in the future.
24.3 Assignment
TripProf may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, or sale of assets, without your consent. You may not assign or transfer your rights or obligations under these Terms without TripProf's prior written consent.
24.4 Force Majeure
TripProf shall not be liable for any delay or failure in performing its obligations under these Terms where such delay or failure results from events beyond its reasonable control, including but not limited to natural disasters, pandemics, wars, terrorism, labor disputes, government actions, power outages, or failures of internet or hosting infrastructure.
24.5 Entire Agreement
These Terms, together with the documents referenced in the introduction (Privacy Policy, DPA, Payment Terms & Billing Policy, Refund & Cancellation Policy), constitute the entire agreement between you and TripProf regarding your use of the Services and supersede all prior agreements, understandings, and representations relating to this subject matter.
24.6 Notices
TripProf may send you notices, including legal and service-related communications, via email to the address associated with your Account or via in-app notifications. You are responsible for keeping your email address current. Notices are deemed received when sent to your registered email address or displayed in the application.
25. Governing Law and Jurisdiction
Unless otherwise required by mandatory law:
These Terms are governed by the laws of the Republic of Poland.
The courts of Wroclaw, Poland shall have exclusive jurisdiction.
If you are a consumer habitually resident in the European Economic Area, you also enjoy the protection of the mandatory provisions of the consumer protection laws of your country of residence.
26. Changes to the Terms
TripProf may update these Terms from time to time.
We will notify you of material changes at least 30 days in advance via email or in-app notification. The notification will describe the nature of the changes and their effective date.
If you do not agree to the updated Terms, you may terminate your Account before the changes take effect. Continued use of the Services after the effective date of updated Terms constitutes acceptance of the new Terms.
Non-material changes (such as formatting corrections or clarifications that do not affect your rights) may take effect immediately upon posting.
27. Contact Information and Accessibility
For questions regarding these Terms:
Alternative Dispute Resolution: TripProf is not obligated to participate in alternative dispute resolution (ADR) procedures before a consumer arbitration body. EU consumers may contact the competent Provincial Inspectorate of Trade Inspection (Wojewodzki Inspektorat Inspekcji Handlowej) or the Office of Competition and Consumer Protection (UOKiK) for information on available dispute resolution options.
